1. Definitions

Where used in these Terms of Use, terms have the following meanings:

24/7/365: an acronym used in the Terms of Use to indicate continuity of access to the Website, 24 hours a day, seven days a week, 365 days a year;

Kopjra s.r.l.: is the owner of this Website with registered office in via Rizzoli 1/2, 40125 Bologna (Italy), VAT 03904120247, CEM: kopjra@pec.it;

Parties: Kopjra s.r.l. and the User;

Website: all static websites of Kopjra S.r.l.:

• kopjra.com and all related subdomains except those corresponding to APIs or web applications (i.e., those prefixed with “api,” “app,” “store,” or “plugin”);
• legaltechitaly.com and all related subdomains except academy.legaltechitaly.com;

User: one who accesses and/or navigates within the Website;

2. Subject

The following Terms and Conditions of Use govern your access to and use of the Website. These Terms and Conditions of Use apply, together with the Privacy Policy, which can be found at the following link: https://www.kopjra.com/privacy (“Privacy Policy”), to your browsing within the Website. You should therefore carefully read these Terms and Conditions of Use and the Privacy Policy and/or print a copy for future reference.

By using the Website, the User represents that he or she has read, understands, and agrees to these Terms and Conditions of Use and the Privacy Policy and to comply with them. If the User does not accept or cannot comply with these Terms and Conditions of Use or the Privacy Policy, the User must immediately cease using and/or browsing the Website.

Kopjra s.r.l. reserves the right to change these Terms and Conditions of Use by giving notice of such changes on this Website; the changes will become effective within the time period indicated in the notice on the Website with the duty of the User, if he/she does not accept them, to immediately cease using the Website.

The Website and its contents will be updated periodically at Kopjra s.r.l.'s discretion.

Kopjra s.r.l. does not warrant that the Website or any content therein is free from errors or omissions.

4. Access to the website

Access is granted on a temporary basis. Kopjra s.r.l. does not guarantee the local, temporal and qualitative availability of the Internet infrastructure necessary for access to the Website or for any data transfer.

Access to and use of the Website is compatible with the following browsers:

• Firefox from version 78.0.0 and later;

Kopjra s.r.l. does not have its own servers but uses third-party servers.

5. Use of the website

The User may access the Website 24/7/365 except for the cases of suspension or interruption provided for in these Terms and Conditions of Use.

The User agrees to use the Website in compliance with applicable regulations, therefore strictly avoiding:

1. Engaging in illegal or improper activities through the Website;
2. Performing actions that discredit the image of Kopjra s.r.l.;
3. Performing actions that may cause material or immaterial damage to other parties of any kind;
4. Attempting to probe, examine, penetrate or test the vulnerability of the Website either by passive or invasive techniques, without the express written consent of Kopjra s.r.l;
5. Using the Website to violate, contravene, or cause to contravene the applicable laws of the State of Italy or any other State;
6. Using the Website in a manner prohibited under these Terms and Conditions of Use.

The User undertakes to ensure that he/she has installed antivirus, firewall and other appropriate security software for surfing the Internet and accessing this Website. Kopjra s.r.l. is not responsible for the User's failure to take reasonable precautions when browsing the Internet and within its Website.

In particular, the User must not misuse the Website by knowingly introducing viruses or other harmful components (e.g., Trojans, worms or logic bombs). The User must not attempt to gain unauthorized access to the Website, the server on which the Website resides, or any server, computer, or database connected to the Website. The User must not carry out “Denial-of-Service” or similar cyber attacks. In such cases, the User may commit a crime, which will be referred to the competent authorities to which, if requested, all information relevant to the identification of the User will be disclosed. In the event that the User violates these terms, his/her right to use the Website will cease immediately.

6. Kopjra s.r.l.'s obligations and limits of liability

The obligations and responsibilities of Kopjra s.r.l. towards the User are exclusively those defined by these Terms and Conditions of Use.

The User acknowledges and agrees that Kopjra s.r.l. shall not be liable in any way for any direct or indirect, collateral, special, consequential or exemplary damages of any nature or kind suffered by the User and/or Third Parties as a result of the use of the Website. In particular, to the fullest extent permitted by law, Kopjra s.r.l. expressly disclaims any representations, warranties, conditions or otherwise, which may apply to the Website or any of its contents, and to that extent Kopjra s.r.l. shall in no way be liable for the:

3. loss of deemed savings;

The User agrees to defend, indemnify and hold harmless Kopjra s.r.l. from and against any and all claims or demands, damages, obligations, losses, liabilities, burdens or debts and expenses, including, without limitation, legal fees and expenses, arising out of one or more violations of these Terms and Conditions of Service.

Without prejudice to what is stated in paragraph 8. of this writing regarding the applicability of Italian law only and the exclusivity of the Court of Bologna, any limitation of liability contained in these Terms and Conditions of Use shall apply to the maximum extent permitted by law in the jurisdiction that may be applicable, regardless of whether the alleged liability arises from contract, tort, negligence, strict liability or any other basis, even if Kopjra s.r.l. had been advised of the possibility of the occurrence of such damage. Some jurisdictions do not allow the exclusion or limitation of collateral and consequential damages, so the limitations or exclusions contained herein may not apply to the User. These Terms and Conditions of Use give the User specific legal rights, and the User may have other rights that vary from jurisdiction to jurisdiction. The disclaimers, exclusions or limitations of liability in these Terms and Conditions of Use do not apply beyond the mandatory limits provided by applicable law.

7. Intellectual property rights

Kopjra s.r.l. is the owner or exclusive licensee of all rights, titles, trademarks, designs, graphics and other intellectual property rights existing and/or related to the Website and its contents. Intellectual property includes text, images, audio and video clips and anything else posted on the Website; they are protected by copyright laws and conventions throughout the world and all rights are reserved.

Compliance with these Terms and Conditions of Use permits viewing, downloading, printing, and using the content of the Website for personal use, provided that:

1. Kopjra s.r.l. be recognized at all times as the author of the content; the User is obliged to preserve and reproduce any indication of intellectual property rights in the material that is downloaded from the Website;
2. the User does not use the content for commercial purposes;
3. the User does not modify the content of the Website in any way; and
4. the User shall not modify the content and use all of the Website's illustrations and other visual content together with the referenced text.

Kopjra s.r.l. assumes no responsibility or warranty with respect to any infringement of third party rights by Users, resulting from improper use of the material contained in the Website.

8. General provisions

Should one or more provisions of these Terms and Conditions of Use be ineffective or void, the remaining provisions shall remain in full force and effect.

Kopjra s.r.l.'s failure to exercise or enforce any right or provision set forth in these Terms and Conditions of Use shall not constitute, nor shall it be construed as, a waiver of such right or provision.

Except as expressly set forth in these Terms and Conditions of Use, nothing contained herein is intended to confer any right or benefit on any person other than the User or Kopjra s.r.l.

These Terms and Conditions of Use set forth the terms of the agreement between the User and Kopjra s.r.l. and supersede any prior agreements, conditions, warranties and/or representations.

Kopjra s.r.l. has the right to suspend the User's access to the Website for violation of these Terms and Conditions of Use. In addition, it is the right of the User and Kopjra s.r.l. to terminate the agreement under these Terms and Conditions of Use at any time by giving written notice to the other party. In such event, the User shall immediately discontinue use of the Website.

These Terms and Conditions of Use and any dispute arising therefrom, directly or indirectly, shall be governed by and construed in accordance with Italian law only. Any dispute arising out of or in connection with these Terms and Conditions of Use or, in general, with the Website and its use, shall be submitted to the exclusive jurisdiction of the Court of Bologna.
